6. Drone Compliance

The Vendor shall be solely responsible for regulatory compliance.

The Vendor shall:

- Prevent overselling.

9. Pricing Policy
The Vendor shall provide:
- Product pricing.
- Applicable taxes.
- Shipping charges.
- Warranty details.
BotBhidu.com (Enercomp Marketplace PVT ltd) reserves the right to conduct promotional campaigns, discounts, and marketing activities.
10. Order Fulfillment
The Vendor shall:
- Process orders within agreed timelines.
- Ensure secure packaging.
- Dispatch products promptly.
- Provide shipment information when required.
11. Shipping Obligations
The Vendor shall ensure that products are shipped:
- In proper packaging.
- In saleable condition.
- Along with all accessories, manuals, and documents.
The Vendor shall be responsible for damage caused due to improper packaging.
12. Returns, Replacements & Refunds
The Vendor agrees to accept returns and replacements for:
- Defective products.
- Incorrect products.
- Damaged products.
- Incomplete products.
Where the fault lies with the Vendor, all associated costs may be borne by the Vendor.
13. Warranty Obligations
The Vendor shall:
- Honor all warranty commitments.
- Provide after-sales support.

14. Vendor Performance Standards
The Vendor shall maintain acceptable standards relating to:
- Order fulfillment.

- Customer satisfaction.

Repeated failure may result in penalties or suspension.
15. Payment Settlement
Payments shall be released by BotBhidu.com (Enercomp Marketplace PVT ltd) as per the agreed settlement cycle (Every working day after 15 days) after adjusting:
- Marketplace commission.
- Refunds.
- Returns.
- Penalties.
- Chargebacks.
- Applicable deductions.
16. Commission & Service Fees
The Vendor agrees to pay:
- Marketplace commission.
- Advertising fees.
- Promotional charges.
- Logistics fees.
- Payment gateway charges.
- Other agreed service fees.
17. Marketing Rights
The Vendor grants BotBhidu.com (Enercomp Marketplace PVT ltd) a non-exclusive right to use:

- Images.
- Videos.
- Logos.
- Product descriptions.
For promotional, advertising, exhibition, social media, and marketing activities.
18. Customer Data Protection
The Vendor shall:
- Maintain confidentiality of customer information.

- Not contact customers for direct sales outside the Platform.
- Comply with applicable data protection laws.
19. Non-Circumvention
The Vendor shall not:

- Conduct direct business with customers sourced through the Platform.
- Solicit Platform customers outside BotBhidu.com (Enercomp Marketplace PVT ltd).
20. Intellectual Property Rights
The Vendor represents that:
- It owns or has authority to use all trademarks, logos, product content, and intellectual property associated with listed products.
- No listing infringes any third-party rights.
21. Product Recall
If any product is found unsafe, defective, non-compliant, or subject to regulatory action:
- The Vendor shall immediately notify BotBhidu.com (Enercomp Marketplace PVT ltd).
- The Vendor shall bear all recall costs.
- The Vendor shall cooperate fully in recall activities.
22. Right to Audit
BotBhidu.com (Enercomp Marketplace PVT ltd) reserves the right to:
- Verify inventory.
- Inspect records.
- Review certifications.
- Audit compliance documents.
- Conduct quality inspections.
The Vendor shall cooperate fully with such audits.
23. Insurance Requirements
Where applicable, the Vendor shall maintain:

Proof of insurance may be requested at any time.
24. Prohibited Products
The Vendor shall not list:

- Excessive complaints.
- Warranty non-compliance.
Such penalties may be adjusted against future settlements.
26. Confidentiality
The Vendor shall keep confidential:
- Pricing structures.
- Commercial arrangements.
- Customer information.
- Business strategies.
- Marketplace operations.
This obligation shall survive termination.
27. Indemnity
The Vendor shall indemnify and hold harmless BotBhidu.com (Enercomp Marketplace PVT ltd), its directors, officers, employees, and affiliates against claims arising from:

- Customer complaints.
- Intellectual property disputes.
- Personal injury.
- Property damage.
28. Limitation of Liability

32. Dispute Resolution
Any dispute shall first be resolved through mutual discussions. If unresolved within thirty (30) days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The venue of arbitration shall be Pune, Maharashtra.
33. Governing Law & Jurisdiction
These Terms shall be governed by the laws of India. Courts located in Pune, Maharashtra shall have exclusive jurisdiction.
